1 - Please Read the Licence Agreement
This
Licence sets out the conditions between the West
Midlands Perinatal Institute (the Supplier) and
your organisation (the User). By proceeding you
are deemed to accept all terms of the Licence without
qualification.
Terms and Conditions
1. LICENCE
The Supplier grants the User a non-exclusive and non-transferable license
to use the Materials as follows:
1.1 The User may:
(a) make as many copies of the Materials at its own expense as it wishes
(b) place the Materials on a secure network, access to which is fully controlled
by the User.
(c) modify the Materials in order to ensure its effective technical operation
1.2 The User may not:
(a) place the Materials on the Internet
(b) assign any of its rights under this Agreement nor the Agreement itself
to any third party
(c) grant to any third party a sub-license to the Materials.
(d) modify the Materials without the written permission of the Supplier
(e) modify the source code of any computer software contained within the
Materials
(f) permit the material to be copied or otherwise used in contravention of
any law
2. START, DURATION & TERMINATION
2.1 This Agreement is effective from the date on which the Materials are
installed onto a computer owned or operated by the User.
2.2 This Agreement may be terminated by the User at any time by giving written
notice to the Supplier
2.3 This Agreement may be terminated by the Supplier at any time if the User
fails to meet any of its obligations under this Agreement
2.4 Immediately upon termination the User will return all existing copies
of the Materials in its possession to the Supplier and remove all copies
of the Software from any computer on which it has been installed.
3. WARRANTIES & INDEMNITIES
3.1 The Supplier warrants that it is legally entitled to enter into this
Agreement.
3.2 The User agrees to indemnify the Supplier against any claims arising
from the failure of the User to abide by the terms of this Agreement.
3.3 This Software and/or license is provided as is, without any representation
or warranty of any kind, either express or implied, including without limitation
any representations or endorsements regarding the use of, the results of,
or performance of the product, its appropriateness, fitness for purpose,
accuracy, reliability, or correctness. The Supplier does not warrant that
the Materials will meet your requirements or that operation of the Materials
will be uninterrupted or free of errors, or that the Supplier will make good
any defects. The entire risk as to the use of this product is assumed by
the user and/or licensee. The developers do not assume liability for the
use of this program beyond the original purchase price of the software. In
no event will the Supplier be liable for additional direct or indirect damages
including any lost profits, lost savings, or other incidental or consequential
damages arising from any defects, or the use or inability to use these programs
or the application of any part of the content of the program, including negligence,
even if the Supplier has been advised of the possibility of such damages.
No additional oral or written information or advice shall create a warranty
or in any way increase the scope of this warranty. This disclaimer does not
in any way affect or prejudice your statutory rights.
4. COPYRIGHT
4.1 This software product is an original work and is Copyright (1996,1997)
West Midlands Perinatal Institute, all rights reserved. This product is protected
by UK and copyright laws, International treaties and all other applicable
national or international laws. The owner of this product is the Supplier
who assert their rights to be acknowledged as the author & creator.
5. LAW
This Agreement is subject to the exclusive jurisdiction of the English and
Welsh courts to which the parties hereto submit. This clause shall not prevent
a party from seeking interim relief in any court of competent jurisdiction.
Disclaimer: This
software is not intended to be used for clinical
management of individual cases. The authors cannot
accept responsibility for any clinical diagnoses
or decisions made on the basis of this program.
